In many instances, the business name is the first impression potential clients will have.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">If the provider is a sole proprietor, it is recommended that he\/she use a name other than a personal name for the child care program. This \u201cfictitious name\u201d must be registered.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Similarly, if a corporation, limited partnership, limited liability company, general partnership or limited liability partnership conducts activities under a name other than its true legal name (other name other than the one in its memorandum\/articles of incorporation), it must register this \u201cfictitious name\u201d with its respective state government.<\/span>[\/vc_column_text][\/vc_column][\/vc_row][vc_row type=&#8221;container&#8221; padding_top=&#8221;&#8221; padding_bottom=&#8221;&#8221; css=&#8221;.vc_custom_1444503317323{margin-top: 10px !important;margin-bottom: 0px !important;}&#8221;][vc_column][vc_tta_accordion active_section=&#8221;0&#8243; collapsible_all=&#8221;true&#8221;][vc_tta_section title=&#8221;Operating Under an Assumed Name: Doing Business As (DBA) in New York State&#8221; tab_id=&#8221;1450464629567-a370135b-6011&#8243;][vc_column_text]<span style=\"font-weight: 400;\">If a corporation, limited partnership, or limited liability company conducts activities under a name other than its true legal name, a\u00a0<\/span><a href=\"http:\/\/www.dos.ny.gov\/forms\/corporations\/1338-f.pdf\"><span style=\"font-weight: 400;\">Certificate of Assumed Name Pursuant to Section 130 of the General Business Law<\/span><\/a><span style=\"font-weight: 400;\">\u00a0must be filed with the New York State Department of State.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">All other entities such as general partnerships, sole proprietorships, and limited liability partnerships must file an\u00a0<\/span><a href=\"https:\/\/www.blumberglegalforms.com\/Forms\/201.pdf\"><span style=\"font-weight: 400;\">Assumed Name Certificate\/Business Certificate (Form X-201)<\/span><\/a><span style=\"font-weight: 400;\">\u00a0directly with the county clerk\u2019s office in each county in which the entity conducts or transacts business.\u00a0The forms can be purchased at any commercial or legal stationary store. The cost of filing varies by county.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">An assumed name cannot contain words such as &#8220;Corporation,&#8221; &#8220;Incorporated,&#8221; &#8220;Limited,&#8221; &#8220;Limited Liability Company,&#8221; &#8220;Limited Partnership,&#8221; or their abbreviations.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Check if the intended name is already in use by searching\u00a0<\/span><a href=\"http:\/\/www.dos.ny.gov\/corps\/bus_entity_search.html\"><span style=\"font-weight: 400;\">NYS\u2019s Corporation and Business Entity Database<\/span><\/a><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In New York City:<\/span><\/p>\n<p><a href=\"http:\/\/bronxcountyclerkinfo.com\/law\/UI\/Admin\/login.aspx\"><span style=\"font-weight: 400;\">Bronx County Clerk&#8217;s Office<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><\/a><a href=\"http:\/\/www.nycourts.gov\/courts\/2jd\/kingsclerk\/filing.shtml\"><span style=\"font-weight: 400;\">Brooklyn (Kings) County Clerk&#8217;s Office<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><\/a><a href=\"http:\/\/www.nycourts.gov\/courts\/1jd\/supctmanh\/Business_Certificates.shtml\"><span style=\"font-weight: 400;\">Manhattan (New York) County Clerk&#8217;s Office<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><\/a><a href=\"http:\/\/www.nycourts.gov\/COURTS\/11jd\/queensclerk\/buscertscorpvetdept.shtml\"><span style=\"font-weight: 400;\">Queens County Clerk&#8217;s Office<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><\/a><a href=\"http:\/\/www.richmondcountyclerk.com\/index.htm\"><span style=\"font-weight: 400;\">Staten Island (Richmond) County Clerk&#8217;s Office<\/span><\/a><\/p>\n<p><span style=\"font-weight: 400;\">For a corporation, limited partnership, or limited liability company the\u00a0<\/span><a href=\"http:\/\/www.dos.ny.gov\/forms\/corporations\/1338-f.pdf\"><span style=\"font-weight: 400;\">\u00a0Certificate of Assumed Name Pursuant to Section 130 of the General Business Law<\/span><\/a><span style=\"font-weight: 400;\">\u00a0and appropriate filing fee should be delivered or mailed to:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">New York State Department of State<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">Division of Corporations<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">One Commerce Plaza<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">99 Washington Avenue<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">Albany, NY 12231<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The filing fee for a Certificate of Assumed Name is\u00a0<\/span><b>$25<\/b><span style=\"font-weight: 400;\">\u00a0in addition to any associated county fee(s), as indicated below. If a provider wishes to order a certified copy of a Certificate of Assumed Name, he\/she will be required to pay a copy fee. The fee for each certified copy is\u00a0<\/span><b>$10<\/b><span style=\"font-weight: 400;\">. \u00a0Additionally, the Department of State collects the following county clerk fees for each county in which a corporation does business or transacts business:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">$100 \u2014 for each county within New York City (Bronx, Kings, New York, Queens, and Richmond Counties)<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">$25 \u2014 for each county outside New York City<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">There is no county fee for limited liability companies or limited partnerships.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Department of State\u2019s Division of Corporations accepts MasterCard, Visa, American Express (see Payment by Credit Card for more information), cash, money orders, personal and business or certified checks for $500 and under. It is recommended that cash payments not be made when mailing a Certificate of Assumed Name.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">You may fax the Certificate of Assumed Name with the\u00a0<\/span><a href=\"http:\/\/www.dos.ny.gov\/forms\/corporations\/1515-f-l.pdf\"><span style=\"font-weight: 400;\">Credit Card\/Debit Card Authorization Form<\/span><\/a><span style=\"font-weight: 400;\">\u00a0and a written request for a certified copy (if desired) to the Division of Corporations at (518) 474-1418.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Upon the filing of the Certificate of Assumed Name, the Department of State will issue an official filing receipt. The filing receipt will reflect the date the Certificate of Assumed Name was filed, the name of the corporation, the assumed name and the accounting of the fees paid. Please verify the information on the receipt to ensure that the information has been recorded correctly. The receipt is proof of filing and should be maintained in a safe place, as the Department of State does not issue duplicate filing receipts to replace those lost or destroyed.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Additionally, the law requires that a certified copy of the filing be displayed on the premises where business is conducted under the assumed name.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">A family childcare provider may require two additional copies: one for the Dept. of Health and Mental Hygiene and the other is necessary to establish a bank account using the assumed name. Even if a provider operates under a sole proprietorship structure without an assumed name, it is recommended that business and personal accounts be separate.
